These Terms of Use (“Terms”) govern your access to and use of sourceton.com and any content, features or communications made available through it (the “Site”), operated by SourceTon LLC (“SourceTon”, “we”, “us”). By using the Site you agree to these Terms. If you do not agree, do not use the Site.
1. Information only; no offer
The Site describes SourceTon and the kinds of work we do in general terms. Nothing on the Site is an offer, commitment, quotation or professional (including legal, financial, investment, medical or technical) advice. Any services are provided only under a separate written agreement signed by SourceTon, and that agreement alone will govern them.
2. No relationship from contact
Contacting us, through the Site or otherwise, does not create a client, advisory, partnership, agency, employment, fiduciary or confidential relationship, and does not obligate either party to anything. We are not obliged to respond to any message.
3. Unsolicited ideas and submissions
We do not accept or consider unsolicited confidential ideas. If you nonetheless send us ideas, suggestions, proposals, feedback or other materials (“Submissions”), you agree that: (a) they are not confidential or proprietary; (b) SourceTon has no obligation of confidentiality, attribution or compensation of any kind; (c) SourceTon may already be developing, or may independently develop, similar ideas; and (d) you grant SourceTon a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable and transferable licence to use, reproduce, modify, develop, commercialise and disclose Submissions for any purpose, without obligation to you. You represent that you have the right to send any Submission.
4. AI-generated output
Our work involves artificial intelligence. AI systems can produce output that is inaccurate, incomplete, biased, out of date or inappropriate, and can present errors confidently. Any AI-generated or AI-assisted content, example, description or demonstration on or from the Site is provided for general information only. You are solely responsible for evaluating it, for performing your own due diligence and independent verification, and for any decision you make or action you take based on it.
5. Acceptable use
You agree not to: use the Site unlawfully; send spam, malware or abusive content; attempt to gain unauthorised access to, probe, overload or disrupt the Site or its infrastructure; scrape or harvest the Site in bulk by automated means other than standard search-engine indexing; or impersonate anyone.
6. Intellectual property
The Site and its content, including text, graphics, logos, illustrations and code, are owned by SourceTon or its licensors and protected by intellectual property laws. “SourceTon” and the SourceTon logo and avatar are our marks and may not be used without our prior written permission. No licence is granted to you except the limited right to view the Site for personal, non-commercial purposes.

We are not responsible for websites, content or services we do not operate.
8. Disclaimer of warranties
THE SITE AND ALL CONTENT, INFORMATION AND COMMUNICATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY OR UNINTERRUPTED OR ERROR-FREE OPERATION. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOURCETON OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE, ANY SUBMISSION OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you, in which case they apply to the greatest extent permitted.
10. Indemnity
You agree to defend, indemnify and hold harmless SourceTon and its members, managers, officers, employees, contractors, affiliates and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to your use or misuse of the Site, your Submissions, your reliance on any content, or your violation of these Terms or any law or third-party right.
11. Governing law and venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of New Jersey and applicable US federal law, without regard to conflict-of-laws rules. You and SourceTon consent to the exclusive jurisdiction and venue of the state and federal courts located in Hudson County, New Jersey, and waive any objection to that forum. To the extent permitted by law, any claim must be brought within one year after it arises, and only on an individual basis, not as part of a class or representative action.
12. General
We may change, suspend or discontinue the Site at any time. We may update these Terms; the date at the top shows when they last changed, and continued use means you accept the updated Terms. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and SourceTon about the Site.
